(2) the applicant named on the acceptance form, who is applying for membership of CCR3 Academy (the “Member”, “you”, “your”).

Together referred to as the parties.

CLAUSE ONEThe parties and the agreement

1.1 These terms govern membership of CCR3 Academy, operated by CCR3 Academy Limited, company number SC814946, registered office Innovation Centre, 1 Ainslie Road, Hillington Park, Glasgow G52 4RU (“the Academy”, “we”, “us”, “our”).

1.2 Membership is granted to a company, limited liability partnership or other business entity (“the Member”, “you”, “your”). Membership is not available to individuals in their personal capacity.

1.3 The Member must name at least one individual as a Nominated Practitioner. Accreditation and the right to deliver the Discovery Process attach to each named individual and cannot be transferred to another person without our written agreement. Membership does not extend to any employee, contractor, associate or director who is not a Nominated Practitioner, and no other person may deliver the Discovery Process under the Member’s accreditation.

1.4 Individual membership permits one Nominated Practitioner. Organisational membership permits between two and five Nominated Practitioners, each of whom must hold Accreditation. Above five, terms are agreed separately.

1.5 The agreement comes into effect when the Member has signed the membership application, accepted these terms and put a valid payment mandate in place.

CLAUSE THREEJoining

3.1 There are two routes into membership.

  • Route One, for new practitioners: completion of accreditation at £2,950 plus VAT, which includes five Discovery Reports and access to the modular online training.
  • Route Two, for practitioners already accredited through ccr3.com: direct entry with no joining fee.
  • Route Three, for organisations: accreditation of between two and five named individuals, delivered as a private cohort, followed by organisational membership.

3.2 The accreditation fee is separate from the Membership Fee and is payable in advance of the accreditation dates. It is non refundable once the first session has been attended. Where a £199 plus VAT Discovery Session fee has been paid and credited, the balance payable for the place is £2,751 plus VAT.

3.3 An accreditation place may be moved to a later cohort by agreement with us, subject to availability.

3.4 The Member warrants that the information given on the membership application is accurate and will tell us promptly if it changes.

CLAUSE FOURTerm and notice

4.1 Membership begins on the Start Date and runs for the Minimum Term of twelve months.

4.2 After the Minimum Term, membership continues until ended under clause 4.3.

4.3 Either party may end membership by giving three months written notice.

4.4 Notice may be served at any time, including during the Minimum Term, but may not take effect earlier than the last day of the Minimum Term. A Member wishing to leave at the end of the Minimum Term must therefore serve notice no later than the end of month nine.

4.5 Notice must be given in writing to [email protected].

CLAUSE FIVEFees and payment

5.1 The Membership Fee for individual membership is £79 plus VAT per month, or £799 plus VAT per year paid in advance. The Membership Fee for organisational membership is £299 plus VAT per month.

5.2 All Membership Fees are collected by direct debit through Stripe. The Member must keep a valid mandate in place for the whole of the membership. Payment by any other method is at our discretion.

5.3 Monthly fees are collected on the same date each month, taken from the Start Date.

5.4 Annual fees are paid in advance and are non refundable. If membership ends part way through a paid year, for any reason, no pro rata refund is due.

5.5 If any sum due to us is unpaid, whether a Membership Fee or an invoice for reports or any other product, we may suspend the Member’s access to the CCR3 Software, the Member Area, report ordering and events until the arrears are cleared in full. We will give seven days written notice before suspending. We may charge interest on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998.

5.6 Membership Fees may be reviewed once in any twelve month period on not less than sixty days written notice. No single increase will exceed eight percent of the then current fee, and no increase will take effect during the Minimum Term.

5.7 Suspension does not reduce or pause the Membership Fee. Fees continue to accrue and remain payable throughout any period of suspension.

CLAUSE SIXWhat membership includes

6.1 Membership includes:

  • access to the Member Area on Sololink
  • the right to order Discovery Reports at member rates
  • access to member masterclasses and events, some included in the Membership Fee and some chargeable separately
  • the right to describe the Nominated Practitioner as CCR3 accredited while membership is current, subject to clauses 8 and 9
  • the Members Pack, brand guidelines and social media digital pack
  • a practitioner feature on the Academy website

6.2 We may vary the composition of member benefits from time to time, provided the overall value of membership is not materially reduced.

CLAUSE SEVENDiscovery Reports and other purchases

7.1 Discovery Reports are ordered through the Member Area at the prices published from time to time. Prices may change on notice.

7.2 Discovery Reports are invoiced on order. Payment terms are 14 days from the invoice date. We may withhold a report until the invoice for it is settled, and may decline further orders while any invoice is overdue.

7.3 Reports are prepared for the Member’s named client. They may not be resold, republished, edited, extracted from or reissued in part by the Member.

7.4 The Member is responsible for debriefing each report with its client. Reports must not simply be issued to a client without interpretation by an accredited practitioner.

7.5 Report credits, including the five included with each accredited place, are credits for full client Discovery Reports rather than practice profiles, and do not expire while membership is current. They are personal to the Member, are not transferable to any other Member, practitioner or third party, and are not exchangeable for cash or for any other product.

7.6 Report credits do not lapse when membership ends. A former Member has twelve months from the end of membership in which to redeem them, after which they expire. If our agreement with CCR3 ends, credits expire twelve months from that date if sooner. A credit redeems for one Discovery Report whatever the Member’s status at the point of redemption, and no top up is payable if non member report pricing applies at that time. Credits carry no monetary value. They are non transferable, cannot be exchanged for cash, cannot be set against Membership Fees or any other charge, and will not be refunded in whole or in part if they are never used.

7.7 The Member may use a Discovery Report with its client in whatever way it judges appropriate to its own engagement, including in recruitment, succession planning, team building and employee welfare work, provided it does so in line with clause 15.4 and with applicable equality and data protection law.

7.8 Reports and all associated CCR3 materials are copyright. The Member must not replicate, plagiarise, alter, rebrand, extract from or reissue any part of a report or any CCR3 material without written permission from the copyright owner, and must not present any part of it as its own work or as the output of any other framework.

CLAUSE EIGHTIntellectual property

8.1 The Discovery Process and all associated materials are owned by CCR3 and made available to the Academy under licence. Nothing in these terms transfers any ownership to the Member.

8.2 The Member is granted a non exclusive, non transferable, revocable licence to use the Discovery Process with its own clients. The licence runs from Accreditation and continues while the Member remains in good standing under clause 14, whether or not the Member holds a current paid membership. The licence is revocable under clause 13 and clause 14.

8.3 The Member must not copy, adapt, translate, reverse engineer, create any derivative or competing framework from, use to train any artificial intelligence system, or sub licence the Discovery Process or any of its materials.

8.4 The Member must not describe the Discovery Process as a psychometric instrument. CCR3’s own position is that its instruments are valuemetric, based on applied mathematics and formal axiology, rather than psychology based psychometrics. The Member must use terminology consistent with that position and with the approved brand guidelines.

CLAUSE NINEBrand, marketing and conduct

9.1 The Member will comply with the CCR3 Academy brand guidelines as issued and updated.

9.2 The Member may describe its Nominated Practitioner as a CCR3 accredited practitioner while membership is current, and may use the marks we supply for that purpose.

9.3 The Member must not use our name or marks in a way that suggests employment, partnership, agency or any authority to bind us.

9.4 The Member must not act in any way that brings the Academy, the Discovery Process, other Members or the rights holder into disrepute.

9.5 The Member must not solicit other Members away from the Academy, or solicit clients introduced to it by the Academy, during membership and for twelve months afterwards. This does not restrict the Member’s own client relationships.

CLAUSE TENProfessional standards and insurance

10.1 The Member must hold professional indemnity insurance of not less than £1,000,000 for the whole of the membership, and for as long afterwards as it continues to rely on the licence at clause 8.2. It must provide evidence of cover on request.

10.2 The Member must comply with all applicable law and with the ethical code of any professional body it belongs to.

10.3 The Member is an independent business. Nothing in these terms creates employment, partnership, agency or joint venture between us.

10.4 The Member contracts with its own clients in its own name and is solely responsible for the advice and services it provides to them.

CLAUSE ELEVENConfidentiality

11.1 Each party will keep confidential all non public information received from the other, including Member Area content, training material, report methodology, commercial terms and information about other Members.

11.2 This obligation continues after membership ends.

CLAUSE TWELVEData protection

12.1 Both parties will comply with UK GDPR and the Data Protection Act 2018.

12.2 The Member is responsible for establishing a lawful basis and for giving appropriate privacy information to its clients before submitting them for a Discovery Report.

12.3 Controller and processor roles. In respect of the personal data of the Member’s own client, submitted for the purpose of generating a Discovery Report, the Member is the controller, the Academy is a processor acting on the Member’s instructions, and CCR3 is a sub processor. In respect of the Member’s own membership and account data, the Academy is the controller.

12.4 Client personal data flows from the Member to the Academy and on to the CCR3 Software, hosted on AWS London (LON 1). The Member Area is provided on the Sololink platform. Payment mandates are held by Stripe.

12.5 The Academy will process client personal data only on the Member’s documented instructions, will assist the Member with data subject requests, and will notify the Member without undue delay on becoming aware of a personal data breach.

INTERNAL NOTE, NOT FOR PUBLICATION Clauses 12.3 to 12.5 record the working mapping and are subject to confirmation by the Academy’s solicitor before issue. Delete this box once confirmed.

CLAUSE THIRTEENSuspension and termination

13.1 We may suspend the Member’s access to the CCR3 Software, the Member Area, report ordering and events where any sum due to us is overdue, or where we reasonably suspect a breach of these terms. Suspension for non payment is subject to the seven days written notice at clause 5.5. Access is restored once the arrears are cleared or the suspected breach is resolved.

13.2 We may end membership immediately on written notice if the Member:

  • commits a material breach that is not remedied within fourteen days of being asked
  • fails to maintain professional indemnity insurance
  • misuses the Discovery Process or any intellectual property
  • becomes insolvent or ceases to trade
  • acts in a way that damages the reputation of the Academy or the Discovery Process

13.3 The Member may end membership immediately if the Academy is in material breach and has not remedied it within fourteen days of being asked.

CLAUSE FOURTEENWhat happens when membership ends

14.1 When paid membership ends, the Member moves to non member status. Access to the Member Area and to member benefits ends on the termination date.

14.2 A former Member may continue to purchase Discovery Reports, masterclasses and networking events at the non member prices published from time to time. Non member prices are materially higher than member prices.

14.3 The licence at clause 8.2 continues while the former Member remains in good standing, meaning it:

  • continues to hold professional indemnity insurance to the level at clause 10.1
  • continues to comply with the brand guidelines and with clauses 8, 9, 11 and 12
  • has no sums outstanding to us

14.4 A former Member remains accredited. It may continue to describe its Nominated Practitioner as CCR3 accredited and may use the marks we supply for that purpose, for as long as it remains in good standing under clause 14.3. It must not describe itself as a current CCR3 Academy member.

14.5 If a former Member ceases to be in good standing, we may revoke the licence at clause 8.2 on written notice, after which the former Member must stop using the Discovery Process, delete or return all materials and stop using our marks.

14.6 Reports already delivered to the Member’s clients may be retained by those clients.

14.7 All fees due up to the end of the notice period remain payable.

CLAUSE FIFTEENLiability

15.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

15.2 We are not liable for the Member’s business results, revenue, client outcomes, lost profits or loss of opportunity.

15.3 Our total liability in any twelve month period is limited to the Membership Fees paid by the Member in that period.

15.4 The Discovery Process is a development tool. It is not a clinical or diagnostic instrument and must not be presented as one.

CLAUSE SIXTEENChanges to these terms

16.1 We may change these terms on thirty days written notice. If a change is materially detrimental to the Member, the Member may end membership on written notice within that thirty day period without serving the three month notice at clause 4.3.

CLAUSE SEVENTEENGeneral

17.1 These terms, the membership application and the brand guidelines form the whole agreement between us.

17.2 A failure to enforce any term is not a waiver of it.

17.3 We may assign or transfer this agreement. The Member may not.

17.4 A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999.

17.5 If any clause is found to be unenforceable, the rest continues in force.

17.6 These terms are governed by Scots law, and both parties submit to the exclusive jurisdiction of the Scottish courts.
